Deposit the capital stock

Once you have drafted your articles of incorporation, you will need to open a business bank account and deposit the company’s capital into it. This money will then be held in escrow until the company is registered, and the bank will issue a certificate confirming that the funds are held in escrow, which will be required for the next step.

In Luxembourg, a company’s articles of incorporation must be drawn up as a notarized document; the only exceptions to this rule are SARL-S, SNC, SCS, and asbl.

The process of incorporating a company in the Grand Duchy involves a rigorous procedure consisting of several key steps: selection of the legal structure and name approval, drafting of the articles of incorporation, opening of an escrow bank account and deposit of capital, incorporation before a notary, registration with the RCS, obtaining a business license, and tax registration.

Yes, but to set up a company in Luxembourg, you must demonstrate that you have a genuine “substance”—that is, a permanent office—and appoint a director who resides within a reasonable distance of the Grand Duchy to oversee day-to-day operations.

  • Professional integrity: You must provide a clean criminal record issued within the last 3 months;
  • Professional qualifications: For certain activities, such as skilled trades or independent professions, you must provide proof of a degree or specific professional experience that demonstrates your expertise in the field;
  • a physical business location: you must have a physical business location in Luxembourg that is suitable for the activity in question;
  • Effective management: The manager must reside in the Grand Duchy or in the border area to ensure the day-to-day management of the facility.

The time required to compile the application should not be underestimated. To simplify and expedite the process, our teams will assist you in gathering the necessary documents and submitting an application that will be approved as quickly as possible.

In 2026 alone, it will take a total of 4 to 8 weeks for everything to be fully operational.

This travel time breaks down as follows (estimates):

  • Name verification and reservation: 1 to 3 days;

  • Account opening and capital deposit: 1 to 3 weeks, primarily due to very strict compliance procedures;
  • Notarized document: scheduling an appointment + 1 to 2 days;

  • Registration with the RCS: 1 to 2 days;
  • VAT and Social Security registration: 1 to 2 weeks.
